End User License Agreement

This agreement governs your right to use AnyKanban. If you buy online, Paddle's Buyer Terms govern that purchase.

1. Parties and acceptance

The licensor (“we”, “us”, “our”) is AGILIST INFORMATION TECHNOLOGIES limited liability company for informatics, consulting and services (Agilist Information Technologies Ltd), Ulica Ede Murtića 4, 10000 Zagreb, Croatia, registered with the Commercial Court in Zagreb under registration number (MBS) 080760591, VAT ID HR50638052915. The licensee (“you”, “your”) is the person or entity that installs or uses the Software, or that a license is obtained for.

You accept this agreement by installing or using the Software. If you act for an organization, you confirm that you may bind it. Do not install or use the Software if you do not accept this agreement.

Paddle.com Market Ltd sells the Software online as Merchant of Record under Paddle's Buyer Terms. Agilist Information Technologies Ltd develops the Software and grants the rights in this agreement.

2. Definitions

Software
The AnyKanban extension for Azure DevOps, published as AnyKanban.query-kanban, and updates we make available
Organization
One Azure DevOps Services organization in which the Software is installed
Paid User
A user of the Organization whose Azure DevOps access level is not Stakeholder
Term
The period covered by a paid license: twelve months, or twenty-four months when two years are paid at once

3. License grants

Subject to this agreement, we grant you a non-exclusive and non-transferable right to install and use the Software:

One paid license covers one Organization, every project, query, board and feature, every update made available during the Term, and any number of Stakeholders. The Paid User count you declare for the Term sets the price. Growth during that Term is not billed again, and a smaller count later in the Term does not reduce the fee.

The limit of 5 Paid Users applies continuously. Once an Organization exceeds it and its evaluation has ended, it needs a paid license. A person or entity may not split work across several Organizations to keep each one below the limit.

The Software is licensed, not sold. All rights not expressly granted are reserved.

We retain all intellectual property rights in the Software, its design, code, documentation, name and logo. Open-source components remain subject to their own licenses, which prevail for those components where required.

6. Support and updates

Write to support@anykanban.com with a product question. We may make updates available, and we may add, change or remove features. Any service level, response time, onboarding or other managed service applies only if stated in an individually signed Managed agreement.

7. Privacy and customer data

The Software does not send your work items, queries or account data to us. Data stored by the Software remains in your Organization. Our Privacy Policy explains the personal data created by purchases, licensing, this website and correspondence.

The Software uses your Organization's Extension Data Service to store:

The Software requests four Azure DevOps scopes.

vso.work_write
Reads, updates and creates work items. It also allows a field to be added to an inherited process, which happens only after an administrator has read the exact plan on the Software's page in Organization settings and run it. No state, rule, backlog level or system process is changed, and nothing is removed.

8. Term and termination

A paid license ends when its Term expires unless it is renewed. We write to you at least 30 days before a license renews. A renewal paid on invoice within 60 days after a Term ends continues from that Term's end date, so a late payment does not shorten the Term and does not move the renewal date. A license bought after that is a new license and its Term runs from payment.

For online sales, Paddle's Buyer Terms and Refund Policy govern cancellation and refunds. A completed refund or chargeback ends the corresponding license. An individually signed business agreement governs those matters where it says so.

We may end your right to use the Software if you materially breach this agreement. When a license ends, you must stop any use that is no longer covered by another grant in section 3. Your work items and data in Azure DevOps remain there.

9. Disclaimer

To the maximum extent permitted by law, the Software is provided as is and as available, without express or implied warranties. We do not promise that it will be uninterrupted, error-free, suitable for a particular purpose or compatible with every change made by Microsoft or another third party.

Nothing in this agreement limits a mandatory right or remedy that applicable law does not allow us to exclude.

10. Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, or for loss of data, profit, revenue or business.

Our total liability arising from the Software or this agreement is limited to the fees paid for the relevant Organization for the twelve months before the event giving rise to the claim. A fee paid for a two-year Term counts in equal halves toward each of its two years. Where no fee was paid, the limit is €100.

Nothing in this agreement excludes or limits liability that applicable law does not allow us to exclude or limit.

11. Other terms

An agreement signed by both parties takes precedence over this agreement for the subjects it addresses. Terms on a purchase order or supplier portal do not apply unless we accept them in a signed agreement.

If a provision is invalid or unenforceable, the remaining provisions stay in effect. A failure to enforce a provision is not a waiver. This agreement does not give rights to anyone who is not a party to it.

We may assign this agreement with our business. You may assign it with our written consent or to a successor that acquires all or substantially all of your business, provided the license remains attached to the Organization it names.

This agreement is in English. A translation is for convenience only.

12. Changes

The version in force when a paid Term begins governs that Term. A later version applies from the next renewal. For free use, a new version applies from the effective date published on this page. If you do not accept a new version, stop using the Software when that version starts to apply to you.

13. Law and jurisdiction

This agreement is governed by the laws of the Republic of Croatia. The courts in Zagreb, Croatia have exclusive jurisdiction over disputes with business customers.

Nothing in this agreement limits any mandatory consumer right or rule on applicable law or jurisdiction.
